Effectively Discharging Fiduciary Duties in IP-Rich M&A Transactions

Co-Founder and Managing Director of Tech+IP Advisory, Elvir Causevic, had his article, “Effectively Discharging Fiduciary Duties in IP-Rich M&A Transactions,” published in the Berkeley Business Law Journal.

The paper argues that, as patents and other intellectual property have become increasingly material to enterprise value, boards of directors must evaluate not only the operating business being sold, but also the independent value of a company's intellectual property portfolio.

The article makes the case that intellectual property should be treated as a strategic corporate asset—not simply as a legal consideration—and that thoughtful evaluation of IP can improve decision-making in complex M&A transactions.
